Route Mobile rises as its arm signs BTA to acquire Heltar Technologies' business undertaking

Route Mobile is currently trading at Rs. 593.30, up by 10.55 points or 1.81% from its previous closing of Rs. 582.75 on the BSE.

The scrip opened at Rs. 589.90 and has touched a high and low of Rs. 597.30 and Rs. 585.50 respectively. So far 1175 shares were traded on the counter.

The BSE group 'B' stock of face value Rs. 10 has touched a 52 week high of Rs. 1022.65 on 17-Jul-2025 and a 52 week low of Rs. 414.10 on 30-Mar-2026.

Last one week high and low of the scrip stood at Rs. 597.30 and Rs. 530.90 respectively. The current market cap of the company is Rs. 3671.83 crore.

The promoters holding in the company stood at 74.85%, while Institutions and Non-Institutions held 6.51% and 18.64% respectively.

Route Mobile’s wholly owned subsidiary -- Route Connect has signed a Business Transfer Agreement (BTA) to acquire the identified business undertaking of Heltar Technologies (Heltar), an AI-driven omnichannel customer engagement platform provider, on a slump sale basis. Heltar’s AI-driven omnichannel customer engagement platform turns communication workflows into automated programs, from a single prompt to a live customer journey. Its chatbot and automation capabilities span WhatsApp and RCS, while its no-code, prompt-driven platform enables enterprises to configure and launch new use cases in days rather than months. 

Route Mobile already operates across messaging, voice, email, and identity and verification, serving enterprises, OTT players, and mobile network operators worldwide. The acquisition is expected to support growth in Route Mobile’s non-SMS business by bringing Heltar’s AI-native chatbot, voice, and analytics capabilities to enterprise customers in India and other geographies, with the potential to build further customer engagement and data capabilities over time. The acquisition is consistent with Route Mobile’s previously announced strategy of pursuing targeted AI acquisitions and with the growth plans already shared with the market, with benefits expected to build over the medium term.

The transaction is structured as a slump sale, under which Heltar will transfer the identified business undertaking to Route Connect Private as a going concern. This includes the Heltar brand and intellectual property, its technology platform, customers, and employees, who will transition to Route Connect as part of the transaction. The transaction will be funded through Route Mobile’s available cash, consistent with the Company’s previously communicated capital allocation strategy. The deal is expected to close in the coming weeks, subject to customary closing conditions.
