V-Guard Industries moves up on acquiring entire stake in Sunflame Enterprises

V-Guard Industries is currently trading at Rs. 258.10, up by 1.25 points or 0.49% from its previous closing of Rs. 256.85 on the BSE.

The scrip opened at Rs. 257.55 and has touched a high and low of Rs. 260.50 and Rs. 257.50 respectively. So far 2353 shares were traded on the counter.

The BSE group 'A' stock of face value Rs. 1 has touched a 52 week high of Rs. 274.90 on 19-Dec-2022 and a 52 week low of Rs. 181.90 on 24-Feb-2022.

Last one week high and low of the scrip stood at Rs. 261.80 and Rs. 250.50 respectively. The current market cap of the company is Rs. 11090.07 crore.

The promoters holding in the company stood at 55.86%, while Institutions and Non-Institutions held 30.98% and 13.16% respectively.

V-Guard Industries has completed the acquisition of 100% shareholding of Sunflame Enterprises (SEPL) for an aggregate consideration of Rs 680.33 crore computed after the closing adjustment as described in the Share Purchase agreement dated December 9, 2022. Out of the total consideration computed, an aggregate amount of Rs 25 crore will be paid to the selling shareholders after two years from the date of closure. Accordingly, Sunflame Enterprises has become a Wholly Owned Subsidiary of the Company with effect from January 12, 2023.

The acquisition is in line with V-Guard's strategy to become a significant player in the domestic Kitchen Appliances segment. The Sunflame brand has a pan India presence with a strong brand recall. SEPL's wide portfolio, product development capabilities and the recently established state-of-the-art integrated manufacturing facility provide the perfect opportunity for V-Guard to scale up its Kitchen Appliances business while also unlocking synergy benefits. The transaction would be funded through a mix of internal accruals and debt.

V-Guard Industries manufactures a range of products namely voltage stabilizers, pumps, electric water heaters, solar water heaters, cables, UPS, ceiling fans, etc.
