Belrise Industries’ step-down wholly owned subsidiary -- Belrise UK Holdings has signed a definitive Share Purchase Agreement to acquire 100% of the issued share capital of Chester Hall Precision Engineering Holdings (Chester Hall) - a United Kingdom-based precision engineering group serving the global aerospace, space and defence sectors. Chester Hall is a specialist in machining aerostructures, aero-engine components, and satellite parts, with deep relationships across marquee global aerospace customers.

The acquisition was completed at an EV/EBITDA multiple of 6x and is expected to be both EPS-accretive and ROCE accretive from day one. There will be a certain deferred consideration based on Chester Hall’s CY26 performance. With revenues of around 18.5 million GBP (Great British Pound) and an enterprise value of 13.2 million GBP (Great British Pound), the transaction represents a defining milestone in Belrise’s evolution as a diversified global engineering and manufacturing platform, marking a deliberate and strategic entry into high-value aerospace and space manufacturing.

The acquisition delivers immediate and compounding strategic value to Belrise across three dimensions, including instant access to advanced aerospace precision manufacturing capabilities and certifications, a platform to serve global aerospace OEMs and Tier-1 suppliers at scale, and a powerful integration of Belrise’s large-scale manufacturing excellence in India and France with Chester Hall’s deep precision engineering expertise. The acquisition will create a compelling cross-border engineering platform - anchored in India’s manufacturing scale and discipline and elevated by Chester Hall’s precision capabilities and aerospace supply chain positioning.
