JSW Infrastructure gains on executing SPA to acquire 100% stake in JSW Overseas

JSW Infrastructure is currently trading at Rs. 341.95, up by 6.00 points or 1.79% from its previous closing of Rs. 335.95 on the BSE.

The scrip opened at Rs. 336.00 and has touched a high and low of Rs. 342.80 and Rs. 333.80 respectively. So far 63855 shares were traded on the counter.

The BSE group 'A' stock of face value Rs. 2 has touched a 52 week high of Rs. 355.65 on 13-Jul-2026 and a 52 week low of Rs. 233.45 on 07-Apr-2026.

Last one week high and low of the scrip stood at Rs. 342.80 and Rs. 326.20 respectively. The current market cap of the company is Rs. 79,674.40 crore.

The promoters holding in the company stood at 73.93%, while Institutions and Non-Institutions held 20.40% and 5.67% respectively.

JSW Infrastructure has executed a Share Purchase Agreement (SPA) with JSW Terminal (Middle East) FZE (JSW Terminal) and JSW Overseas FZE (JSW Overseas) to acquire 100% of the share capital of JSW Overseas from JSW Terminal, subject to receipt of necessary approval of the relevant authority under applicable laws of India and UAE.

Upon completion of the transaction as contemplated under the SPA, JSW Overseas, a step-down wholly owned subsidiary of the company will become a direct wholly owned subsidiary of the company. 

Earlier, the company had received approval from the Board of Directors for acquisition of 100% shares of JSW Overseas from JSW Terminal (Middle East) FZE, at book value, for total consideration of Rs 19.21 lakh (78446 AED (United Arab Emirates Dirham)). The proposed acquisition is aimed towards achieving administrative and operational convenience.
